Terms of Service

These Terms of Service govern your access to and use of Nova (nova.neontechhq.com) and all associated services including Nova Pay, operated by Neon Quantum Systems Ltd. ("Nova," "Neon Tech," "we," "us," or "our"). These Terms apply to all users, business operators, and clients globally.

If you are using Nova on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. Business operators registering for Nova are required to affirmatively accept these Terms and our Privacy Policy during account registration.

Nova is an AI-powered business communication assistant that enables businesses to automate customer interactions across messaging platforms including WhatsApp, Instagram Direct, Facebook Messenger, and TikTok. Nova is operated by Neon Quantum Systems Ltd.

Nova is an AI system, not a human. By connecting Nova to your business, you accept full responsibility for every message it sends, every response it generates, and every interaction it conducts on your behalf — across all channels, at all times.

Nova integrates with TikTok for Business via the TikTok Content Posting API, Comment API, Direct Message API, and Login Kit. When a business operator connects their TikTok account to Nova, Nova may perform the following on behalf of the operator:

• Publishing video content and posts to the operator's TikTok account via the TikTok Content Posting API
• Reading, moderating, and replying to comments on the operator's TikTok videos via the TikTok Comment API
• Sending and receiving Direct Messages on behalf of the operator's TikTok account
• Accessing account analytics, follower data, and post performance metrics
• Scheduling and managing a content calendar on the operator's behalf

By connecting their TikTok account to Nova, operators grant Neon Tech authority to perform all of the above actions via TikTok's authorised API. Operators remain solely responsible for all content published, all communications sent, and all account activity generated through Nova. Neon Tech is not liable for any TikTok account suspension, content removal, community guideline violation, or any consequence arising from Nova's operation of an operator's TikTok account.

Operators using Nova's TikTok integration must comply with TikTok's Platform Terms, Developer Terms, Advertising Standards, and Community Guidelines at all times. Nova integrates with TikTok's official OAuth 2.0 authorisation system — we never collect or store TikTok account passwords.

By subscribing to or using Nova, business operators acknowledge and agree that:

• Nova operates using artificial intelligence and may produce inaccurate, incomplete, or unexpected responses. Neon Tech makes no guarantee of accuracy or fitness for any purpose.
• Operators are solely responsible for all outcomes resulting from Nova's interactions with their customers.
• Operators must obtain all necessary consents from their customers for AI-powered message handling, in accordance with applicable law and the policies of each messaging platform.
• Operators must comply with all applicable laws in their jurisdiction including consumer protection, data privacy, telecommunications, and anti-spam regulations.
• Operators must not use Nova to deceive, defraud, manipulate, harass, or mislead end users.
• Operators must comply with Meta's Messaging Policies, WhatsApp Business Policy, Instagram Platform Terms, and Facebook Platform Terms when using Nova's Meta integrations.
• Operators must comply with TikTok's Platform Terms, Developer Terms, and Community Guidelines when using Nova's TikTok integration.
• Nova must not be configured to actively claim to be a human agent, or to deny being an AI when sincerely asked by an end user — across any channel including TikTok, WhatsApp, Instagram, Facebook Messenger, or any other integration.
• Neon Tech is not liable for any business loss, customer complaint, regulatory fine, platform ban, or damage arising from Nova's operation or AI output.

By enabling or using Nova Pay, operators agree that:

• Nova Pay facilitates payment collection through regulated third-party processors: Anchor and Fincra for Nigeria-based transactions, Stripe for international markets. Neon Tech is not a licensed bank, payment institution, or financial services provider.
• Operators are solely responsible for compliance with applicable financial services regulations, AML requirements, and KYC obligations.
• Nova Pay must not be used for illegal transactions, money laundering, fraud, or any prohibited activity.
• Neon Tech is not liable for failed transactions, delayed transfers, or any financial loss arising from use of Nova Pay.
• Neon Tech acts solely as a technical facilitator. All funds flow through licensed payment processors. Neon Tech does not hold or control customer funds.

Neon Tech operates as an authorised Meta Business Solution Provider (BSP). Operators using Nova through any Meta-owned channel agree to comply fully with Meta's Terms of Service, Platform Policies, WhatsApp Business Policy, Instagram Platform Policy, and Facebook Developer Policies. Operators who violate Meta platform policies through Nova will have their Nova account terminated. Neon Tech may report violations to Meta directly.

All intellectual property created or delivered by Neon Tech — including source code, algorithms, AI models, design systems, and brand assets — is and shall remain the exclusive property of Neon Quantum Systems Ltd. You receive a limited, non-transferable, revocable licence to use Nova as a service. This licence ends immediately upon termination.

You may not:

• Reverse engineer, decompile, or attempt to extract source code from any Nova product
• Sublicence, resell, or transfer access to Nova to any third party without written consent
• Use Nova to build a competing product or service
• Use automated scripts or scrapers against Nova without written authorisation
• Use Nova for any unlawful purpose or in violation of any third-party platform terms
• Configure Nova to impersonate a human agent or deny being an AI on any channel

All payments are final and non-refundable unless explicitly stated otherwise in a written agreement. Nova subscriptions are billed monthly or annually. Neon Tech may modify pricing with at least 30 days' advance notice to active subscribers.

Nova is provided on an "as available" basis. We do not guarantee uninterrupted access. Neon Tech may modify, suspend, or discontinue any feature at any time. We may suspend Nova integrations immediately if required by TikTok, Meta, or any other third-party platform. Neon Tech is not liable for losses arising from downtime, feature changes, or platform-imposed restrictions.

Neon Tech may suspend or terminate your Nova account at any time for breach of these Terms, non-payment, suspected fraud, or at our sole discretion. You may terminate your account at any time by contacting info@neontechhq.com.

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be submitted to good-faith negotiation for 30 days, then to binding arbitration in Abuja, Nigeria, under the Arbitration and Mediation Act 2023.

For material changes, we provide at least 14 days' advance notice via email or website notice. For pricing changes, we provide at least 30 days' advance notice. Non-material changes take effect immediately upon posting. Continued use after any modification constitutes acceptance of the updated Terms.
